Terms of Service

Sovryk is operated ahead of company incorporation in Romania. The registered company name, address and registration number will be published here as soon as incorporation completes. Until then the operator is reachable at contact@sovryk.com.

Provider: Sovryk, a company registered in Romania (registration number pending), with registered office at registered address to be published on incorporation ("Sovryk", "we", "us").

By creating an account or using Sovryk (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Sovryk provides end-to-end encrypted messaging, voice and video calls, and file sharing, delivered as software and hosted infrastructure. Messages and calls are encrypted end-to-end, which means we cannot read the content of your communications.

2. Accounts

2.1 You register with a username and password. Providing an email address is optional and used only for account recovery if you choose to add one. We do not require a phone number.

2.2 You are responsible for keeping your credentials and encryption keys secure. Because of end-to-end encryption, if you lose your password/keys, we may be unable to recover your data.

2.3 You must be at least 16 years old (or the age of digital consent in your country) to use the Service.

2.4 For business/organisation accounts, the administrator is responsible for the users they provision and for their organisation's use of the Service.

3. Acceptable use

Your use of the Service is governed by our Acceptable Use Policy, which is incorporated into these Terms. Illegal use is strictly prohibited. We may suspend or terminate accounts that violate the AUP or the law.

4. Subscriptions, payment and refunds

4.1 Paid plans are billed as described at checkout (e.g. monthly or annually). Prices exclude VAT unless stated; VAT is applied as required by law.

4.2 Payments are processed by third-party providers (e.g. Stripe). We do not store your full card details.

4.3 Consumer right of withdrawal (EU): where applicable, consumers have a 14-day right of withdrawal for digital services. By starting to use the Service immediately, you may be asked to consent to begin performance before the withdrawal period ends, which can waive that right, as permitted by law.

4.4 Subscriptions renew automatically unless cancelled before the renewal date. You can cancel at any time; access continues until the end of the paid period.

4.5 Anonymous activation codes/vouchers (where offered) are prepaid and non-refundable once redeemed.

5. Availability

We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. We may perform maintenance, updates, and changes. Dedicated/SLA terms, where offered, are set out separately.

6. Your content

6.1 You retain all rights to the content you send. We do not claim ownership.

6.2 Because content is end-to-end encrypted, we do not access, scan, monetise, or sell it, and we do not use it for advertising or profiling.

6.3 You are solely responsible for your content and for ensuring you have the right to share it.

7. Intellectual property

The Sovryk software, branding, and site are protected by intellectual property rights. Sovryk is built on open-source components (including the Matrix protocol and Element), used under their respective licences.

8. Suspension and termination

8.1 You may stop using and delete your account at any time.

8.2 We may suspend or terminate your access if you breach these Terms or the AUP, if required by law or a valid legal order, or to protect the Service or others.

8.3 On termination, your data is deleted in accordance with our Privacy Policy.

9. Disclaimers and limitation of liability

9.1 The Service is provided "as is" and "as available", to the maximum extent permitted by law.

9.2 We do not warrant that the Service is suitable for any particular purpose or that it is immune from all security risks. Security is a continuous process.

9.3 To the maximum extent permitted by law, our aggregate liability is limited to the amount you paid us in the 12 months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law (e.g. for gross negligence, wilful misconduct, or death/personal injury).

10. Changes to these Terms

We may update these Terms. We will notify you of material changes. Continued use after changes means you accept the updated Terms.

11. Governing law and disputes

These Terms are governed by the laws of Romania. Disputes are subject to the competent courts of Romania, without prejudice to mandatory consumer protection rights you may have in your country of residence.
